You further acknowledge and agree that Insight Analytics Collective shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
5. Disclaimers
5.1. "As Is" and "As Available" Basis
"The Insight Hub Service is provided on an "as is" and "as available" basis. Insight Analytics Collective makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service. To the fullest extent permissible by applicable law, Insight Analytics Collective disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Insight Analytics Collective does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components."

In no event shall Insight Analytics Collective's aggregate liability to you for all claims arising out of or relating to the use of or inability to use the Service exceed the amount you have paid to Insight Analytics Collective, if any, for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

8. Governing Law and Dispute Resolution
8.1. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Insight Analytics Collective is primarily based, without regard to its conflict of law provisions. For the purpose of these Terms, let us assume our primary jurisdiction is the Commonwealth of Pennsylvania, United States of America. All legal proceedings arising out of or relating to these Terms or the Service will be filed exclusively in the federal or state courts located in Philadelphia, Pennsylvania, and you hereby consent to the personal jurisdiction of such courts.
8.2. Dispute Resolution
Any disputes arising under or in connection with these Terms shall be attempted to be resolved through good faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Philadelphia, Pennsylvania, in accordance with the rules of the American Arbitration Association then in effect. The arbitrator's decision shall be final and binding on all parties.
9. Modifications to the Service and Terms
We reserve the right to modify or discontinue the Service (or any part thereof) temporarily or permanently, with or without notice. We also reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without the prior written consent of Insight Analytics Collective. Insight Analytics Collective may assign or transfer these Terms, and any of its rights and obligations hereunder, without restriction.
